1. Acceptance of Terms
By accessing or using the website lexintake.online and any associated services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services.
These Terms constitute a legally binding agreement between you ("User", "you", "your") and LexIntake ("we", "us", "our"). By creating an account, submitting a query, or using any feature of our platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.
2. Description of Service
LexIntake provides AI-powered legal services automation tools designed for Ontario law firms and legal professionals. Our Services include, but are not limited to:

The outputs, responses, analyses, documents, and any other content generated by LexIntake's AI tools are provided for informational purposes only and do not constitute legal advice. No lawyer-client relationship is formed between you and LexIntake through the use of our Services.
You must not rely on any AI-generated output as legal advice. All outputs must be reviewed, verified, and approved by a qualified lawyer licenced by the Law Society of Ontario before being used in any legal matter, filing, or communication. LexIntake makes no representation that its outputs are accurate, complete, or suitable for any particular legal purpose.
Using our Services does not create a lawyer-client relationship. LexIntake is a technology company, not a law firm, and is not engaged in the practice of law.
4. AI Accuracy and Hallucinations
⚠️ WARNING — AI CAN PRODUCE INACCURATE INFORMATION
AI language models can and do produce information that is incorrect, fabricated, or misleading — including generating fake case citations, misstating legal principles, and inventing statutes that do not exist. This is known as "hallucination."
In the case of Ko v. Li (2025 ONSC 2766), the Ontario Superior Court of Justice addressed the dangers of relying on AI-generated legal content. The court found that a litigant had submitted AI-generated materials containing fabricated case citations and false legal propositions, which the court condemned in the strongest terms. This case serves as a stark reminder of the risks inherent in relying on AI outputs without independent verification.
By using our Services, you acknowledge and agree that:
- AI-generated outputs may contain errors, omissions, and fabricated information
- You must independently verify all citations, statutes, case law, and legal principles referenced in any AI output
- We make no guarantee of accuracy, completeness, or reliability of any AI-generated content
- You bear full responsibility for any use of AI-generated outputs in your practice
- Submitting unverified AI-generated content to any court, tribunal, or legal proceeding may result in serious professional and legal consequences
5. User Responsibilities
By using our Services, you agree to:
- Lawyer review — Have all AI-generated outputs reviewed by a qualified lawyer before use in any legal context
- LSO compliance — Comply with the Law Society of Ontario Rules of Professional Conduct, including the duty to disclose AI assistance to clients where required by LSO guidelines
- PIPEDA obligations — Ensure that any client personal information submitted to our platform is done so in compliance with PIPEDA and applicable privacy legislation, including obtaining necessary client consents
- Professional judgment — Exercise independent professional judgment and not substitute AI outputs for your own legal analysis
- Account security — Maintain the confidentiality of your account credentials and promptly report any unauthorized use
- Acceptable use — Not use our Services for any unlawful, fraudulent, or abusive purpose, or in any way that could damage, disable, or impair the platform
Lawyers remain professionally responsible for all work product that incorporates or relies upon AI-generated outputs, consistent with the Law Society of Ontario's guidelines on the use of artificial intelligence in legal practice.
6. Account and Payment
6.1 Subscription Plans
We offer the following subscription plans (all prices in Canadian dollars):
- Free Tier — Limited access to basic features, subject to usage caps
- Starter — $299/month CAD — Enhanced access for solo practitioners and small firms
- Professional — $999/month CAD — Full access for mid-sized firms
- Enterprise — $1,999/month CAD — Custom deployment and dedicated support for large organizations
6.2 Billing
Subscriptions are billed monthly in advance. All prices are in Canadian dollars (CAD) and exclude applicable taxes. Payment is processed at the beginning of each billing cycle.
6.3 Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused portions of a billing period. Upon cancellation, your access to paid features will be removed at the end of the billing cycle.
7. Intellectual Property
The LexIntake platform, including its software, design, branding, logos, documentation, and all associated intellectual property, is owned by LexIntake and is protected by Canadian and international copyright, trademark, and other intellectual property laws.
You retain ownership of all matter data, client information, and original content you submit to the platform. By submitting content, you grant LexIntake a limited, non-exclusive license to process that content solely for the purpose of providing the Services to you.
You may not copy, modify, distribute, sell, or lease any part of our Services or included software, nor may you reverse engineer or attempt to extract the source code, unless applicable law permits it or you have our written permission.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- LexIntake provides the Services "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy.
- We do not warrant that the Services will be uninterrupted, error-free, secure, or that AI outputs will be accurate or reliable.
- In no event shall LexIntake's total aggregate liability to you for any and all claims arising out of or related to these Terms or the Services exceed the total fees paid by you to LexIntake in the twelve (12) months immediately preceding the event giving rise to the claim.
- We shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, regardless of the theory of liability.
- You acknowledge that AI-generated outputs are inherently uncertain and may be incorrect. You assume all risk associated with reliance on such outputs.
9. Indemnification
You agree to indemnify, defend, and hold harmless LexIntake, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of or reliance on AI-generated outputs, including but not limited to their use in legal proceedings, client communications, or court filings
- Your violation of these Terms
- Your violation of any applicable law, including the Law Society of Ontario Rules of Professional Conduct or PIPEDA
- Any claim that content you submit to the platform infringes the rights of a third party
This indemnification obligation survives the termination of these Terms and your use of the Services.
10. Termination
Either party may terminate these Terms at any time:
- By you — You may cancel your account at any time through your account settings or by contacting us at hello@lexintake.online. Upon cancellation, your paid subscription will remain active until the end of the current billing period.
- By us — We may suspend or terminate your access to the Services at any time, with or without cause, including for violation of these Terms, with notice where reasonably practicable.
Upon termination, you may request a data export of your matter data, which will be provided in a reasonable format within 30 days. After the data export period, your data will be deleted in accordance with our data retention policy (see our Privacy Policy).
Sections 3 (Not Legal Advice), 4 (AI Accuracy), 8 (Limitation of Liability), 9 (Indemnification), and 11 (Governing Law) shall survive termination.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute arising out of or related to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario, sitting in Toronto, Ontario, and you hereby irrevocably consent to the personal jurisdiction of such courts.
12. Dispute Resolution
Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute with LexIntake by contacting us at hello@lexintake.online and providing a detailed description of the issue. We will attempt to resolve the dispute in good faith within 30 days.
If the dispute cannot be resolved informally, it shall be resolved in the courts of the Province of Ontario, sitting in Toronto, Ontario, as provided in Section 11.
13. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of these Terms. The remaining provisions shall continue in full force and effect, and the invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.
